Terms of Service

These Terms of Service govern your use of the services provided by Plexus Digitals, a digital growth agency specializing in AI, Metaverse, AR/VR, and next-generation digital marketing solutions. Please read them carefully before engaging our services.

1. Acceptance of Terms

By accessing, browsing, or using the website (plexusdigitals.com) or any services offered by Plexus Digitals — including AI development, digital marketing, metaverse & AR/VR solutions, web & app development, and the DGCC platform — you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you must discontinue use of our services immediately.

2. Services Overview

Plexus Digitals provides a range of professional digital services including but not limited to: AI & Agentic AI development (custom AI agents, LLM integration, AIOps), Metaverse & AR/VR solutions (ARTE real estate platform, Divya Drishti virtual darshan), Digital Marketing (SEO, PPC, social media marketing, content strategy), Web & Application Development (custom websites, web apps, mobile applications), and the DGCC (Digital Growth Command Center) platform for real-time marketing analytics and performance tracking. The specific scope, deliverables, and timelines for each engagement will be outlined in individual project proposals or service agreements.

3. Client Obligations

Clients agree to provide accurate and complete information required for service delivery, including business details, brand assets, access credentials, and content approvals. Clients must respond to queries and provide feedback in a timely manner to avoid project delays. You are responsible for ensuring that any content, materials, or data you provide to Plexus Digitals do not infringe upon the intellectual property rights of any third party and comply with all applicable laws.

4. Intellectual Property Rights

All pre-existing intellectual property, proprietary tools, frameworks, methodologies, and reusable code libraries — including but not limited to the ARTE platform, Divya Drishti system, DGCC dashboard infrastructure, and AI model architectures — remain the exclusive property of Plexus Digitals. Upon full payment, clients receive a non-exclusive, non-transferable license to use the deliverables created specifically for their project. Plexus Digitals reserves the right to showcase completed work in portfolios, case studies, and marketing materials unless a Non-Disclosure Agreement (NDA) is in effect.

5. Payments & Billing

Payment terms will be specified in the project proposal or service agreement. Unless stated otherwise, an advance payment is required before project commencement. Recurring services (such as SEO retainers, DGCC subscriptions, or maintenance plans) are billed on a monthly or quarterly cycle as agreed. All fees are quoted in Indian Rupees (INR) unless explicitly stated otherwise. Late payments may result in service suspension or termination. Plexus Digitals reserves the right to revise pricing with 30 days prior written notice.

6. Project Revisions & Scope Changes

Each project includes a defined number of revision rounds as specified in the project proposal. Additional revisions, scope expansions, or new feature requests beyond the original agreement will be treated as change orders and may incur additional charges. Any modifications to project scope must be agreed upon in writing by both parties before work commences on the changed scope.

7. Termination & Cancellation

Either party may terminate the engagement by providing 15 days written notice. In the event of termination, the client will be billed for all work completed up to the date of termination, including any third-party costs already incurred. Advance payments are non-refundable once project work has commenced unless otherwise specified in the service agreement. Plexus Digitals reserves the right to immediately terminate services if the client engages in unlawful activities, breaches these terms, or fails to make due payments.

8. Limitation of Liability

Plexus Digitals shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services, including but not limited to loss of profits, data, business opportunities, or goodwill. Our total liability for any claim shall not exceed the total fees paid by the client for the specific service in question during the 12 months preceding the claim. We do not guarantee specific results from digital marketing campaigns, SEO rankings, or AI implementations, as outcomes depend on multiple external factors beyond our control.

9. Confidentiality & Data Protection

Both parties agree to maintain the confidentiality of all proprietary information shared during the engagement. Plexus Digitals implements industry-standard security measures to protect client data, including encrypted communications, access-controlled systems, and secure cloud infrastructure. We comply with applicable Indian data protection laws and global best practices. For details on how we handle personal data, please refer to our Privacy Policy.

10. Third-Party Services & Integrations

Our services may involve the use of third-party platforms, APIs, tools, and services (such as Google Ads, Meta Business Suite, WhatsApp Business API, AWS, cloud hosting providers, and analytics tools). Plexus Digitals is not responsible for the availability, performance, terms, or policies of these third-party services. Clients are responsible for maintaining their own accounts and complying with the terms of service of any third-party platforms used in connection with our services.

11. Indemnification

The client agrees to indemnify, defend, and hold harmless Plexus Digitals, its founders, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) the client's breach of these Terms; (b) content or materials provided by the client; (c) the client's use of deliverables in a manner not authorized by the agreement; or (d) any third-party claims related to the client's business activities.

12. Governing Law & Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with these terms shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be subject to the exclusive jurisdiction of the courts located in Lucknow, Uttar Pradesh, India. Both parties agree to attempt mediation before resorting to litigation.

Warranty Disclaimer

All services provided by Plexus Digitals are delivered on an “as is” and “as available” basis. While we strive for excellence in every engagement, we do not make any warranties — express or implied — regarding the merchantability, fitness for a particular purpose, or non-infringement of our services, platforms, or deliverables.

Digital marketing results, AI model performance, search engine rankings, and platform metrics are influenced by numerous external factors. Plexus Digitals does not guarantee specific outcomes but commits to industry best practices and transparent reporting through tools like the DGCC platform.

Modifications to Terms

Plexus Digitals reserves the right to modify, update, or revise these Terms of Service at any time. Changes will be posted on this page with an updated “Last Updated” date. Continued use of our services after modifications constitutes acceptance of the revised terms. For material changes that significantly affect your rights, we will make reasonable efforts to notify active clients via email.
